Terms of Service

These terms govern your use of KelpieLedger — the web app at app.kelpieledger.au and its MCP server. By creating an account you agree to them.
The service
KelpieLedger is bookkeeping software: a double-entry ledger, bank reconciliation, and an Australian GST/BAS worksheet, drivable from the web app or from an AI agent connected over MCP. It is not a registered tax agent, BAS agent, or accountant, and nothing in the app is professional tax or accounting advice. BAS lodgment currently produces a print-and-transcribe pack for you to lodge yourself — you are responsible for reviewing figures before lodging with the ATO.
The product is under active development. Features, tools exposed over MCP, and the chart of accounts may change as it evolves.
Your account
You must provide accurate information when signing up and keep your credentials secure. You're responsible for activity on your account, including anything done through an AI agent you've authorised to connect via MCP — we treat agent actions as actions you took.
Acceptable use
- Don't attempt to access another tenant's data or bypass the account/tenant isolation.
- Don't use the service for anything unlawful, or to post records you know to be false.
- Don't attempt to reverse engineer, scrape, or overload the service beyond normal use.
Your data
You own the bookkeeping data you put into KelpieLedger. See our Privacy Policy for how it's collected, stored, and retained. You can request an export or deletion of your data by contacting us, subject to the record-keeping periods described there.
Fees
KelpieLedger is currently offered free of charge during its private beta. If we introduce paid plans in future, existing account holders will get reasonable advance notice before any charge applies.
Availability & warranty
The service is provided on a best-effort basis without any uptime guarantee, and is provided “as is”. To the extent permitted by law, we exclude all warranties other than those that cannot be excluded under the Australian Consumer Law. Nothing in these terms limits any consumer guarantee that applies to you by law.
Liability
To the maximum extent permitted by law, we are not liable for indirect, consequential, or special loss arising from your use of the service, including errors in figures you have not reviewed before relying on them (e.g. before lodging a BAS). Always check ledger entries and BAS figures before acting on them.
Termination
You can stop using the service and close your account at any time. We may suspend or close an account that breaches these terms. Sections that by their nature should survive termination — data retention, liability, governing law — continue to apply.
Changes to these terms
We may update these terms as the product evolves. If a change is material, we'll notify account holders and update the date above.
Governing law
These terms are governed by the laws of Australia.
